Terms of Service
Last updated: 7 October 2024
These Terms of Service ("Terms") govern use of lemuasware.com (the "Site") and the Leumas contract manufacturing platform (together, the "Service"), operated by Leumas Private Limited ("the Company," "we," "us," or "our"), incorporated in India and headquartered at Cyber Towers Block A, Madhapur, HITEC City, Hyderabad, Telangana 500081, India.
The Service is a business-to-business (B2B) platform for supplement and nutraceutical brands. Authorised brand representatives may submit batch specifications, request production quotes, manage orders, and obtain quality documents, including Certificates of Analysis and batch records. By using the Service, you accept these Terms for the business entity you represent. Do not use the Service if you lack authority to bind that entity.
1. Agreement
By accessing the Site or using the Service, you confirm that you represent a legally constituted business entity and may accept these Terms for it. These Terms do not restrict statutory rights available to you under the laws of your country of residence.
2. The Leumas Manufacturing Service
The Company provides contract development and manufacturing for supplement and nutraceutical products at its Hyderabad facility. The Service includes:
- Online batch inquiry and quoting via lemuasware.com;
- AI-assisted scheduling of capsule, powder blend, liquid, softgel, and gummy production;
- Physical manufacturing, quality testing, and Certificate of Analysis issuance;
- Finished-product delivery with batch records, CoA, and ingredient traceability documentation.
The scope, price, timeline, and technical specifications of each run are agreed in a batch order confirmation or written quotation. These Terms govern the platform and your relationship with the Company; the confirmation governs the particular manufacturing engagement.
3. Account Registration
Some Service features require a member account. On registration, provide accurate, current, complete information and keep it updated. You are responsible for credential confidentiality and all account activity. If you suspect unauthorised access, notify us immediately at [email protected].
4. Use of the Service
- The Service is for commercial use by supplement and nutraceutical brand operators, not consumer or personal use.
- You must not use the Service unlawfully, disrupt its operation, or seek unauthorised access to any platform or production management system.
- You must not scrape, reverse-engineer, or copy the Service except where applicable mandatory law expressly permits it.
- You must ensure that formula specifications, ingredient declarations, and product information submitted through the Service are accurate, complete, and lawful in each intended sales market.
5. Intellectual Property and Formula Specifications
The Company or its licensors own the Site, design, scheduling software, manufacturing process documentation, and related content, which applicable intellectual-property law protects. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose.
You retain all intellectual property in formula specifications, ingredient compositions, and product concepts submitted through the Service. The Company claims no ownership of your formula data. We use those specifications only to manufacture, test, and document your ordered batch, and as described in our Privacy Policy.
The Company retains intellectual property in its manufacturing processes, equipment configurations, AI batch scheduling algorithms, quality control methods, and proprietary know-how independently developed from any client formula. A batch order grants you no rights in those processes.
6. Batch Orders and Deliverables
A batch order begins when you submit a batch specification and accept in writing, including by email or through the platform, a written quote issued by the Company. The Company will use commercially reasonable efforts to manufacture the batch to the agreed specification and lead time. Completion deliverables include finished product in agreed packaging, a Certificate of Analysis, a batch record digest, and an ingredient traceability summary.
Lead times shown on the Site or in quotes are estimates based on current production queues and ingredient availability. The Company is not liable for delays from ingredient shortages, logistics disruptions, or circumstances beyond its reasonable control.
7. Regulatory Compliance
You alone must ensure that products manufactured through the Service meet all applicable laws, regulations, and labelling requirements in every intended sales market, including FSSAI regulations for India and import/export requirements for international destinations. The Company may provide draft supplement facts panels or regulatory guidance as a courtesy, but this is not legal advice. Obtain qualified regulatory counsel before regulatory submissions or product launch.
8. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent applicable law permits, the Company disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise uninterrupted, error-free Service or freedom from harmful components. This disclaimer does not affect mandatory statutory guarantees in your jurisdiction.
9. Limitation of Liability
To the maximum extent permitted by applicable law, the Company's total liability for any claim arising from or relating to the Service is limited to the amount you paid the Company during the three calendar months immediately before the event giving rise to the claim, or INR 10,000, whichever is greater. This applies to claims in contract, tort, statute, or any other legal theory. The Company is not liable for indirect, incidental, consequential, punitive, or special damages, even if warned they might occur. These Terms do not exclude liability that mandatory law cannot limit.
10. Indemnification
You agree to indemnify and hold harmless the Company, its directors, employees, and agents against third-party claims, losses, damages, and costs, including reasonable legal fees, arising from your Service use, breach of these Terms or applicable law, or any allegation that the formula specifications or product you directed the Company to manufacture infringe third-party rights.
11. Termination
The Company may suspend or terminate your Service access for breach of these Terms or where applicable law requires it, with or without notice based on breach severity. Termination does not affect completed batch orders already manufactured and delivered. Sections 5, 7, 8, 9, 10, 12, and 13 survive by their nature.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Disputes arising from or relating to these Terms or the Service fall under the exclusive jurisdiction of the competent courts of Hyderabad, Telangana, India, without prejudice to mandatory consumer-protection rights under the law of your country of residence.
13. Changes and Contact
We may revise these Terms from time to time. Material revisions will appear on this page with an updated "Last updated" date. Continued Service use after the revised version's effective date means you accept the revised Terms.
